Quick answer
An LLC (Limited Liability Company) is a U.S. business structure that protects your personal assets and, if you are a Spanish non-resident in the U.S. and your LLC has no physical activity there, pays no American federal taxes: you are taxed in Spain on the income you take home. It costs from ~$99 + state fees and is created 100% online in 1-3 days. Here I explain how to create it step by step from Spain.
An LLC is a Limited Liability Company in the United States, it can be opened in Spain very easily and in a very short time, plus they have many tax advantages that I will detail below.
Why should you create an LLC? If you live in Spain
If you live in Spain and have a business you will know that making it profitable is complicated considering that you have to pay 21% vat on all sales + self-employed fee (100 – €500 a month) + personal income tax (IRPF) which can reach 41% of the profit or 25% corporate tax + dividends, social security, employees which amounts to more than 40% etc..
In addition to bureaucracy, penalties, problems on the tax agency website, inspections, forms etc.. All together makes undertaking an activity difficult, risky and tedious.
That is why after many years contributing in Spain, paying a fee of €300 a month and after not having received any help after the COVID quarantine, I ended up very burnt out and decided to educate myself in ETax Evasion (Tax avoidanceconsists of the use of legal mechanisms to reduce tax payment).
After several months of informing myself, I discovered that for my activities (100% digital with international clients) I could invoice with a company abroad LEGALLY.
Below you will see the advantages of an LLC unlike a company or self-employed in Spain. Before taking action I recommend that you hire the services of a tax advisor with experience operating companies abroad.
LLC Advantages (Non-Residents)
🟢Ease of creation – Creating an LLC is a very fast and easy process to do, you can create the company yourself and in a matter of a week start invoicing with it. (Later I'll teach you how to create an LLC for $300 in Delaware)
🟢0 Taxes – If you have no sales in the USA you will not have to pay taxes there other than state fees, depending on the state you will pay from $50 – $300 a year. The responsibility for the payment of taxes will therefore be yours as an individual in Spain (I will talk about this later)
🟢Anonymity – There are states in the USA where the information of LLC members is private. The USA will not surrender information unless there is a crime relating to your LLC. Some states that have this privacy are Delaware, Wyoming, New Mexico, Ohio..
🟢Tax Filing – LLCs file taxes 1 time a year, plus you don't have to keep accounting since the forms to be filed (5472 and 1120) do not ask you for that data.
🟢Without Accounting – The IRS asks you for sales data, expenses and balance info in your bank accounts. It really wants information on capital movements to the member directly or indirectly. Therefore you have the option not to keep accounting, however it is recommended for your business, at least in a general way not invoice by invoice like in Spain.
🟢Gastos “deducibles” – The IRS is very permissive with non-nominative personal expenses, if your LLC is single-member you can pay for food, gas, electricity and even rent as long as you spend with the company account. (Expenses that have to do with your activity)
🟢Limited Liability – Corporate veil, just like a company, LLCs have limited managers' liability, if you receive a lawsuit your personal assets will not be involved.
🟢Bank accounts and payment gateways – With LLCs you can create bank accounts in a wide variety of banks and gateways despite not being American, I recommend Mercury, Wise, PayPal and Stripe.
🟢No need to be self-employed to have an LLC, even if you have yields you are not forced to register as self-employed.
Disadvantages of LLCs
🔴Pass-through entities:The yields (profit) of LLCs are passed on to the managers who will have to pay the IRPF on the corresponding earnings as long as there has been a profit.
🔴Forms 1120 and 5472are not especially cheap to fill out/file, usually an advisor there will charge you a minimum of $250 to file these documents.
🔴Slow EIN: Due to the high volume of applications to create LLCs they are taking up to 3 months, below I provide you a CPA in USA that gets it for you in less than a week – www.elutax.com
Frequently Asked Questions
What is Fiscal Spoliation?
The fiscal spoliation refers to the perception that taxpayers are being subjected to excessive and unfair taxes by the government. This can be seen as a form of robbing citizens of their wealth and property. This perception can arise from a variety of factors, including an inequitable tax structure, a lack of transparency in the collection and use of taxes, and the perception that the government is not adequately investing in public services and other citizen needs.
Is it legal to have an LLC in Spain?
Having an LLC is 100% legal in Spain, the only obligations you will have are to inform the AEAT in model 720 if the set of assets of the LLC exceeds €50,000 and in case you generate yields, you as a member of the LLC must pay the corresponding IRPF on those profits.
You must also study if your business model is suitable to invoice it from abroad, if you have a restaurant, employees etc.. Hacienda will end up giving you a tap. However if your activity is online, e-commerce, trading, content creator, marketer, digital services etc.. In that case there is no problem.
Do you have to report to Hacienda if I have an LLC?
No, residents in Spain must report to the Tax Agency only if the set of assets of said LLC exceeds €50,000. In that case you must report in model 720 the LLC as an asset abroad. However, as a Spanish resident you are obliged to report the income obtained abroad and declare them in the IRPF. (Sif your LLC is not yet profitable you do not have to report to Hacienda) ;)
Does the Tax Agency know if I have an LLC in the USA?
The states or the IRS do not inform foreign entities about companies incorporated in the USA. If "Hacienda" asks the IRS for information about your LLC they will surrender it without problem, but for this the LLC must incur an investigation.
What business models are suitable for an LLC?
The recommended activities to invoice from an LLC are generally those that have no physical nexus or employees. If your activity is online and you do not need an office, warehouse, employee.. to carry out your activity then invoicing from the LLC will not be a problem.
Restaurants, Real Estate, services that require physical presence, a warehouse or office with materials you need for the activity.. These are some of the examples that should not be invoiced from a company abroad.
E-Commerce as long as you subcontract everything, logistics, importation, customization etc.. Dropshipping in that case is viable to invoice with the LLC. Consulting, trading, digital services or products, freelancer, online training, content creator, affiliate marketing, media buyer. These are some businesses suitable for the LLC.
Requirements to create an LLC?
Be over 18 years old, have more than €500 to pay for the creation of the LLC and forms 1120 and 5472. A minimum of knowledge of your tax obligations, both with the IRS and with the AEAT. Passport and ID, usually they do not ask you for the data but sometimes it comes in handy for example for the Registered Agent.
Do you have to pay VAT with an LLC?
Yes and no, if your billing to Spanish clientsdoes not exceed €10,000annually you are not obliged to request a VAT number. The invoices you issue to Spanish clients will be made without VAT.
Do you have to be Self-Employed if I have an LLC?
No,if you are the owner of an LLC and you are a Spanish tax resident you are not obliged to be self-employed to declare that income, you can simply pay the corresponding VAT.
Is it legal if all my clients are Spanish?
If all yourcore activityis in Spain, the Spanish tax authority (Hacienda) could try to tell you that you should pay taxes in Spain because all your clients are here, however in the case of LLCs this does not apply.
LLCs arepass-through companiesand deep down they do not separate your physical person from your legal person therefore it is not a company and you, are the same. Therefore, having entirely Spanish clients is the same as being self-employed.
What is the ITIN Number?
The “ITIN Number” is an individual taxpayer identification number issued by the IRS in the United States. The IRSissues theITIN to individuals who do not have nor meet the requirementsto obtain a Social Security Number(SSN).
Nowadays it is usually requested to be able to create accounts in banks that require a tax identification number in the USA, either SSN or ITIN (passport not valid), PayPal or Shopify are some of the companies.
How is an LLC taxed in Spain?
LLCs are considered transparent pass-through companies, so the income that remains in your LLC's bank account as of December 31 is attributed to your person on the tax return, IRPF in Spain, form 100 or 113

How to create an LLC in the United States?
Next we will see how to create an LLC from Spain ourselves at a truly competitive price. This option to create the LLC being Spanish is somewhat more complex than if we do it with an agency, however not only will you save money but it also comes in handy to learn.
In case you want the easy and expensive option I recommend NorthWest o Stripe Atlas, they will create your company in Delaware for 500€ and it includes the registered agent for the first year.
🔰I recommend that first of all you buy an American virtual number to be able to call phone numbers there for free, they can solve questions for you etc.. Hushed and skype virtual number works well.
Jompeye
Creating an LLC in the United States can be a complex process full of details. If you prefer to delegate the process to professionals I recommend EluTax, they have Service to Create an LLC in the USA
Hushed, 10€ for a phone in the USA
With Hushed you can have a real phone number in the United States with which you can make and receive calls for only 10-25€ per year.
The virtual phone from Hushed allows you to receive and send SMS, the application works very well when making and receiving calls, the best I have tried.
1. Address and Registered Agent
All States require having a Registered Agent and a Company Address. The Registered Agent is not an accountant as we might think, it is a physical place, an address, in the State where you have created the LLC, which the State verifies annually.
It will be the official company address where the IRS can send us the LLC documents, both the EIN and the Articles of Incorporation. The cheapest option is northwest for 100€ per year, if you create the LLC with them they give you the first year for free saving the 100€. In addition, you can use the same registered agent address as the company address unlike the options below.
- ipostal1.com, for 120€ per year we will have an address to receive letters, fax etc.. however they will not accept it as the address of our LLC as it is in a Mail Center.
- incfile.com, 140€ per year you will have your address in the United States, Incfile is known for offering the organizer service but lately they are very slow processing the EIN. Ipostal1 gives more options for receiving packages etc..
If you choose to hire the service yourself like ipostal1, you will have to take an extra step. Officially, these services cannot receive your company letters if you do not give them a power of attorney to do so. This power of attorney consists of filling out a form, the USPS 1583, which you will also have to sign and have notarized. To make it easy, most paid services will give you this filled-out form waiting to be signed and notarized. Some even also offer the notarization service. Notarizing has a cost of 5€ with Notarycam.
Ipostal1, 100€ for your address in the USA
Ipostal1 allows you to have a physical address in the United States with which you can receive packages, letters, documents etc.. They can send what you receive to Spain or scan it.
It costs 10€ per month, it works perfectly, the only thing is that it will not serve as a registered agent address since it is a MailBox.
NorthWest 39€ + state fees
NorthWest in my opinion is the #1 to create an LLC from Spain. They are the most fastand with the best quality price service.
The total cost would be $79 including state fees, registered agent 1 año y “filing” de los documents
2. LLC Creation (Organizer)
After having LLCs for more than 5 years and having created more than 50 for clients, I have come to the conclusion that northwesthas the best service to create the LLC, price, time and support. They give the complete service of address, LLC, Registered Agent and EIN in record time.
Create my LLC with Northwest →
Affiliate link: if you register through it, I earn a small commission at no extra cost to you.
Select the state where you want to create your LLC, choose the plan you want. I recommend the most basic one for $119 and then you add the EIN for $100, they are going to try to put upsells in the cart but none of them are really necessary.
As soon as you have completed the payment, pending will appear and in a matter of a few days they will send you the documents. The EIN will take a month but the “Articles of Incorporation” you can have them in less than a week, the time depends on the state where you create it, in Delaware since there are many companies it takes longer.
This whole process is more complex than it seems, if you want to save time and do it with the help of an experienced company I recommend ELUTAX.COM, you can contact them from the following email: info@elutax.com
NorthWest 39€ + state fees
NorthWest in my opinion is the #1 to create an LLC from Spain. They are the most fastand with the best quality price service.
The total cost would be $79 including state fees, registered agent 1 año y “filing” de los documents
IncFile 50€ + State Fees
Incfile is very good, the website is intuitive and the service cheap however IncFile's time in doing the filing and the EIN delay takes more than 2 months.
Unlike NorthWest it does not include Registered Agent or postal address, in my case I stopped using it because of how long they took to send the forms, I came to wait 4 months for an EIN.
*How to get our LLC's EIN ourselves
The EIN is what in Spain would be the CIF or the NIF. You will need this number to communicate with the IRS (the American Treasury), open accounts in payment gateways, bank accounts, etc.
To save yourself those 100€ you can apply for the EIN yourself at the IRS by filling out the form yourself, I am attaching the links.
Here are the steps you have to follow: The first thing you have to make sure is that the Organizer has already created your company and there has been no problem, meaning that you already have the papers in your email confirming that the company is created. Once you have this, you can start with these steps.
The first thing to apply for the EIN is to fill out the SS4 form, which can be obtained at the IRS website. You have to download it and fill it out.
Here you have, with the exception of the name, address and type of services your company does, the exact information you have to put.
Note: at the end of the form it asks you to indicate a fax number and it is very important that we put one. This is because once you have filled out the form, the fastest way for them to give you the EIN is to send it by fax (they say between 4-15 working days approx.).
To get the fax, internet services can be used. Some offer 15 days of free fax, like efax.es, although we don't know if the EIN will reach you in time. You can always start with the free trial and pay by months if it doesn't arrive or you have to send it again.
When sending them the SS4 form, we are also going to attach the Articles of Organization/Incorporation. This document will have been sent to you by the Registered Agent with whom you created the company. It is not essential but it helps so that they do not require more information later before giving you the EIN.
Since only one PDF can be sent, what we will do is merge the two PDFs into one (merge in English), putting the SS4 form first and then the Articles of Organization.
Using the digital fax service, we have to send this PDF to the IRS fax, which is at this link. Remember that most likely the number you have to send it to is the one indicated for NON-residents in the USA and that it is also sent from OUTSIDE the USA.
Once sent, they should return a fax with the EIN. Credit Jompeye Blog
3. LLC Bank Accounts
Once incfile has processed our LLC and we have the EIN and the Articles of Incorporation in our name we can create bank accounts.
Mercury is a very good option since it is an Neobank American one with US IBAN that will accept our account despite not having an SSN, they also give us a card that in the first months has 1% cashback on online purchases. They will send the card to Spain without problem.
Transferwise is another very popular neobank that will give you bank accounts in several countries, the Euro one is in Belgium, and the $ obviously in United States, all in your company's name, they charge almost no commissions. I'll leave you a video of my TransferWise Review;
Wise, the best bank for LLCs
Wise is a Neobank that allows you to create bank accounts in different countries. You will be able to operate with your LLC in Dollar, Euro, Pound etc.. with hardly any commissions.
They give you a free virtual card, you can make international transfers, currency conversion, receive payments etc.. All this with hardly any commissions.
If you want to save yourself the whole process of creating the LLC, We recommend EluTax! For only €999 you will receive; address for 1 year, your LLC with Articles of Incorporation + EIN (3 days) and a dedicated manager who can file the tax returns for you.
Tax obligations in the USA (Spanish residents)
In the United States you will not pay taxes unless you have sales there, if all your billing comes from other countries like Spain you do not have to pay taxes in the USA.
The only requirements are form 1120 and 5472, specific forms like be12 or be13, BOI report and the FBAR. I recommend the services of elutax for these filings.
A US company with foreign owners must file Form 5472 every year in most cases. Given that Form 5472 is a informationalform, not a tax return, it is often overlooked. Form 5472 must be filed every year along with Form 1120 on April 15th or October 15th if an extension is requested.
The The purpose of Form 5472 is to list all Reportable Transactions for the corresponding tax year. The IRS does not clearly define what constitutes a Reportable Transaction, but basically these include most transactions between the managers and the LLC, regardless of the monetary amount. Examples of Reportable Transactions include the disbursement of funds to a personal account of the Foreign Owner(s) of the United States Company, contributions to the LLC by the Foreign Owner, the payment of an expense by the Foreign Owner on behalf of the LLC or any other transaction involving the US company and the foreign owner(s). Info from mycpa.net
FBAR from fincen.gov (New 2022)
If there is a foreign owner in the company who owns more than 25% of the property, it is mandatory to fill out a form if (the LLC) has more than $10,000 in foreign accounts in the company's name (not $10,000 for each foreign bank account but in aggregate, in total).
This is not a tax return nor does it have to do with the IRS but with FinCen. Go to the Fincen page to see conditions and updates.
If you have to file it, what you must submit is Form 114. In this form you will report the amounts of money your LLC has in foreign banks and foreign financial accounts.
Tax obligations in Spain
The tax obligations that you will have in Spain are reduced to paying the personal income tax (IRPF) on the returns that your LLC has had. If you had 20,000 in billing in the LLC and only 1,000 in profit you pay the corresponding IRPF on that 1,000. You will have to look for an advisor in Spain for this submission.
On the other hand, you should check your business model and whether to apply VAT to the sales you make in Spain, as of today if sales do not exceed 10k you will be exempt from VAT and will not have the obligation to request the VAT or NIF in Spain.
Tricks for your LLC
As you will have seen, LLCs have tax obligations in Spain, however we can avoid this legally in the following ways.
To not submitting the 720 and informing the Treasury of our LLC simply the balance of our bank accounts must not exceed €50,000. To avoid paying IRPF on the LLC's earnings we must empty the accounts at the end of the year and in the 1120 indicate that there has been no profit, basically spend a lot so as not to have profits to declare.
If you have a company in Spain or are self-employed and want to pay less IRPF or Corporate Tax you can make them cross invoices entre ellas.
Conclusion LLCs Spain
Since I created the LLC not only has my business improved drastically si no que personalmente me ha ayudado, tener a hacienda encima es un problema que causa mucha ansiedad y estres, poder “librarse” de esta carga ha marcado un antes y un después en mi vida.
That is why I want to help more entrepreneurs to create LLCs and bill with them in a legal way and without fear. All the information I have provided in the blog has taken me years of learning, consultancies etc..
The tax avoidance doesn't end here, if your billing starts to increase, doing everything from the LLC is not the best option, study companies in Estonia, since being in Europe it has many tax advantages. I will make a video about it when I am more trained in Estonia since I just started :)
Frequently asked questions about the LLC
How much does it cost to create an LLC from Spain?
Between $39 and $300 depending on the state and the registered agent, plus the state annual fee (New Mexico has no annual fee). With full service (EIN included) it usually ranges from 200-400$.
Is it legal to have an LLC while being a resident in Spain?
Yes, it is completely legal. What the Treasury demands is to declare in Spain the income you obtain from it and, depending on the case, report it correctly. Illicit would be hiding it.
Where is it best to create it: New Mexico, Wyoming or Delaware?
For small online businesses, New Mexico (cheap and private). Wyoming gives more banking prestige. Delaware only pays off if you are looking for investors.
Does an LLC pay taxes in Spain?
The single-member LLC is transparent: profits are declared on your Spanish IRPF as yields, depending on your situation. It is not a vehicle to avoid paying taxes, but to operate with less friction.

¿has encontrado a alguien que me puedas recomendar?
Gracias y un saludo,
Melita
Hola a tod@s,
Hola, no entiendo bien tu pregunta.
Melita
